    Nvidia Announces $12.93 Billion Deal to Acquire Hugging Face

    SANTA CLARA, CALIFORNIA / RankWire.AI / – Nvidia has revealed its plan to purchase Hugging Face in a deal valued at approximately $12.93 billion. The two companies formalized their agreement on September 2, 2026. Nvidia will distribute roughly $11.9 billion to Hugging Face shareholders, subject to standard adjustments. Additionally, the deal includes up to about $1 billion in equity-based retention grants for eligible staff. Both organizations anticipate the completion of the transaction in the first half of 2027, pending necessary regulatory approvals.

    Hugging Face is renowned for its extensive platform dedicated to artificial intelligence models, datasets, libraries, and developer tools. Nvidia reports that the platform has over 18 million users, including developers, researchers, and content creators. It hosts more than 3 million models and approximately 500,000 datasets. The platform also provides access to over 1 million applications for AI development. More than 200,000 companies leverage Hugging Face’s services to discover, evaluate, customize, and deploy AI solutions across a variety of computing environments.

    Post-acquisition, the companies stated that Hugging Face will continue supporting multiple models, frameworks, cloud services, and hardware platforms. Developers will not be required to use Nvidia hardware to access the platform. Support for open-source and open-weight models from various providers will persist. The platform will remain compatible with multiple cloud providers and accelerator technologies. Nvidia assured that the platform will continue backing silicon vendors beyond its own products, as part of commitments related to the transaction.

    Commitments to Maintain Open AI Platform Features

    Hugging Face was founded in 2016 by Clément Delangue, Julien Chaumond, and Thomas Wolf. The company has expanded its offerings to include model hosting, datasets, developer libraries, and cloud-based AI tools. In August 2023, Hugging Face achieved a valuation of $4.5 billion following a funding round that raised $235 million from technology investors. Prior to the acquisition, Nvidia and Hugging Face collaborated on projects that connected developers with Nvidia’s computing infrastructure and software tools.

    Nvidia disclosed the acquisition in a Form 8-K filed with the U.S. Securities and Exchange Commission on September 3, 2026. The filing confirms that the deal remains pending and has not yet been finalized. Its completion depends on regulatory clearances and standard closing procedures. Nvidia also outlined ongoing operational commitments for Hugging Face after the transaction, including continued access to models and datasets, multi-cloud support, and compatibility with hardware from other semiconductor manufacturers.

    Nvidia Aims for Closure in Early 2027

    Already deeply integrated into Hugging Face’s developer community, Nvidia reports having published over 500 models and more than 250 open datasets on the platform. The company also supplies software libraries and development tools that users can adapt for their AI initiatives. Hugging Face’s platform facilitates model discovery, evaluation, customization, and deployment. Its user base includes corporations, research groups, and independent developers engaged in machine learning, generative AI, and other AI-related fields.

    The $12.93 billion Nvidia acquisition of Hugging Face remains subject to review until all closing conditions are satisfied. Nvidia anticipates completing the transaction during the first half of 2027. Under the announced commitments, Hugging Face will continue to support developers working across diverse models, cloud platforms, frameworks, and computing technologies. The platform’s multi-cloud and multi-accelerator approach will be preserved. Until the deal is finalized, Nvidia and Hugging Face will operate as separate entities under the terms of their signed agreement.
